Regulations of the Coalition "FOR improving transparency in extractive industries"
May 13, 2004 1.Objectives of the Coalition The objectives of the Coalition are as follows: -
organization and implementation of public control over the safe storage, complete return to the state and effective use of Azerbaijan's share of the revenues obtained from the exploitation of the country's natural resources; -
implementation of the activities aimed at informing the Azerbaijani citizens of the exploitation of the country's natural resources and of the earned revenues, including the organization and implementation of public control over such activities of state bodies and companies; -
joining the efforts of civil society institutions in the area of transparency and in this way stepping up the level of public activity; -
ensuring the representation of Azerbaijani public associations in the British government's "Transparency Initiative in Extractive Industries", which has been joined by the Azerbaijani government. 2.Participants in the Coalition Any non-governmental organizations and individual public figures and specialists can join the Coalition. Physical and legal entities interested in joining the Coalition are to agree with the provisions of these regulations and to apply to the Coalition's administration with a letter requesting admission. Membership of the Coalition is voluntary. New members of the Coalition are admitted with the consent of at least two thirds of current members. Membership of the Coalition can be terminated by a member at any time. 3.Legal status of the Coalition The Coalition is not a legal entity. 4.Forms of activity of the Coalition: -
conducting conferences, workshops and roundtables (including virtual); -
setting up working groups and commissions; -
organizing audits and specialist expertise of different problems; -
holding talks and establishing cooperation with state bodies, local and international bodies, organizations and companies; -
setting up working groups on improving the legislation; taking effort towards the adoption of different suggestions in the Milli Majlis; -
conducting special public actions (pickets, marches, rallies, public theater performances, "One day without corruption", publication of agreed articles in mass media, cartoon exhibitions, etc.); -
publishing books, brochures, bulletins, posters, etc.; -
creating a special web site; -
studying and spreading foreign experience; -
participating in Transparency Initiative in Extractive Industries at an international level; -
training the most active; -
consulting citizens; -
other forms of activity not prohibited by the law. 5.Rights of the Coalition members Coalition members have the following rights: -
to attend the Coalition meetings; -
to elect the Coalition's administration; -
to use the Coalition's database; -
to require information about the activity of the Coalition's Council; -
to put forward suggestions on considering issues related to the Coalition activities at the Coalition's meetings. Coalition members cannot make statements on behalf of the Coalition. 6.Responsibilities of the Coalition members Coalition members agree to abide by these Regulations. 7.The Coalition's administrative bodies The supreme body of the Coalition is its general meeting. General meetings are to be held at least once every six months. Extraordinary general meetings can be convened with the consent of at least one third of Coalition members. Extraordinary general meetings can be held by the demand of at least two Council members. The supreme body of the Coalition in the period between general meetings is the Council elected by the general meeting. The Council is initially comprised of seven people. This number can be increased by subsequent decisions of the general meetings. The first Council is elected for a period of six months, the second Council for one year and subsequent Councils for two years. The Council outlines the Coalition's activities, supervises all activities, holds negotiations with local and foreign organizations and bodies and gives its authorization for the signing of different documents on behalf of the Coalition. To organize the activity of the Council, the Council elects one of its members Coordinator. The information on the Coalition's activity is published in the Coalition's monthly bulletin and handed out among all members of the Coalition. This information is also posted on the Coalition's web site. The tenure of the Council's Coordinator is determined by the Council itself. 8.Funding of the Coalition's activities The Coalition's activities are financed with grants and personal funds of the Coalition members. 9.Rules of amending these regulations Amendments to these Regulations can be introduced with the consent of at least two thirds of the Coalition members. 10.Termination of the Coalition The Coalition can be terminated with the consent of at least two thirds of the Coalition members.
